Terms of Use

By accessing or using NullPad, with or without an account, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, do not use the service.

1. Description of Service

NullPad provides a secure, privacy-focused note-taking platform. Core features include local storage, client-side encryption, and optional cloud synchronization.

2. Security and Encryption

  • Client-Side Encryption: All notes synchronized to the cloud are encrypted on your device using Zero-Knowledge architecture. We do not have access to your encryption keys or your unencrypted content.
  • User Responsibility: You are solely responsible for maintaining the confidentiality of your session passwords and encryption salts. Loss of these credentials will result in permanent loss of access to your encrypted cloud data.

3. Account Registration

  • To use cloud features, you must create an account using a supported identity provider.
  • You must provide a unique nickname to identify your account.
  • You agree to provide accurate information and keep it updated.

4. Commercial Use

NullPad is free for personal and individual use, including security researchers, students, and independent professionals. Commercial use — defined as any use within an organizational, corporate, or business context, regardless of team size — requires an active paid subscription (Pro, Advanced, or Business). The Business (Multi-Seat) plan is available for organizations requiring centralized team management, unified billing, VAT/CNPJ invoicing, or formal licensing documentation.

5. Subscriptions & Billing

NullPad offers Free, Pro, Advanced, and Business (Multi-Seat) subscription tiers. Paid subscriptions are billed on a recurring basis and managed through Paddle. By subscribing, you agree to Paddle's terms and conditions.

  • Seat-Based Licensing (Business): The Business plan is billed on a per-seat quantity basis. The organization administrator manages seats through the Corporate Panel, adding or removing seats dynamically with automated proration handled by Paddle.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • We offer a full refund for any subscription within the first 14 days of the initial purchase, no questions asked. To request a refund, contact support@nullpad.app or use the support link in your Paddle receipt. Once approved, refunds are processed immediately by Paddle.
  • VAT/CNPJ invoicing is available at checkout for business subscribers.

6. Prohibited Conduct

You agree not to use NullPad for any illegal or unauthorized purpose. Prohibited activities include, but are not limited to:

  • Using the service for malicious intent or illegal activities.
  • Interfering with or disrupting the integrity or performance of the service.
  • Attempting to gain unauthorized access to the service or its related systems.

7. Termination and Data Deletion

  • You may delete your account and data at any time through the Profile settings.
  • We reserve the right to suspend or terminate accounts that violate these terms.
  • Upon account deletion, your data will be handled according to our Soft Delete policy (see Privacy Policy).

8. Disclaimer of Warranties

NullPad is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, error-free, or completely secure.

  • Data Loss and Backups: While we strive to provide a reliable platform, we do not guarantee against data loss, data corruption, or hardware/software failure. You are solely responsible for maintaining independent backups of your notes, objectives, and any other critical information stored on NullPad.

9. Limitation of Liability

To the maximum extent permitted by applicable law, NullPad and its creators shall not be liable for any indirect, incidental, special, or consequential damages. This includes, but is not limited to, loss of data, data corruption, loss of profits, or business interruption, resulting from the use or inability to use the service, even if we have been advised of the possibility of such damages.

  • Liability Cap: In no event shall our total liability to you for all damages, losses, and causes of action exceed the total amount paid by you, if any, for your NullPad subscription during the twelve (12) months immediately preceding the event giving rise to the claim. If you use the free version of NullPad, our total maximum liability shall be limited to zero dollars ($0.00).

10. Changes to Terms

We reserve the right to modify these Terms at any time. Significant changes will be communicated via email to registered users and/or through the application. Continued use of the service after such changes constitutes acceptance of the updated Terms.
